*Commercial Transactions

Lead the drafting, review, and negotiation of commercial agreements, including research collaborations, technology evaluation agreements, licensing agreements, service agreements, and strategic partnership contracts.

Work closely with Business Development throughout the deal lifecycle, providing practical legal and commercial support during negotiations.

Structure collaboration models that appropriately balance scientific collaboration, commercial objectives, intellectual property protection, and long-term partnership value.

Develop practical contractual solutions that facilitate successful negotiations while appropriately managing legal and business risks.

*Intellectual Property Strategy

Develop and implement intellectual property strategies for AI-enabled drug discovery technologies, computational methods, software platforms, algorithms, and related innovations.

Partner with scientific teams to identify patentable inventions and coordinate domestic and international patent filing strategies.

Advise on ownership, licensing, and protection of platform technologies, software, and research outputs generated through external collaborations.

*AI & Technology Governance

Provide legal guidance on issues related to AI-assisted drug discovery, including:

- Data ownership and usage rights

- Customer confidential information

- AI model development and deployment

- Software and algorithm licensing

- Background IP and foreground IP

- Jointly developed technologies

-Improvements and derivative innovations

Develop legal frameworks that support responsible AI innovation while protecting the company's core technology platform.

*Cross-functional Business Partner

Serve as a trusted advisor to Business Development, MARS scientists, project teams, and senior management.

Translate complex scientific and technical concepts into practical commercial and legal solutions.

Participate in customer meetings and strategic negotiations when appropriate.

Contribute to the development of standardized collaboration frameworks and legal best practices for AI-driven drug discovery partnerships.

任职要求

LL.B., J.D., LL.M., or equivalent legal qualification.

4+ years of legal experience in biotechnology, pharmaceuticals, life sciences, healthcare, software, or technology industries.

Strong experience negotiating research collaborations, technology licensing, strategic partnerships, or other complex commercial transactions.

Demonstrated experience in intellectual property strategy and technology commercialization.

Familiarity with AI, software, computational biology, biotechnology, or pharmaceutical R&D is highly desirable.

Excellent commercial judgment with the ability to balance legal risk and business objectives.

Strong communication, negotiation, and stakeholder management skills.

Fluent in English; experience supporting international transactions is preferred.
