法务总监

职位描述

1. 全面统筹集团法务与合规工作，搭建并持续优化法务管理体系，涵盖合同管理制度、授权与印章管理、纠纷处理流程及法务信息化（合同全生命周期管理 CLM）；组建并管理法务团队，制定部门分工、绩效考核与人才培养机制，统筹法务年度预算及外部律所成本管控。

2. 统筹各类中英文法律文件的起草、审核与谈判，覆盖国内外客户销售合同与长期供货协议（LTA）、保密协议（NDA）、联合开发协议（JDA）、采购与设备合同、技术许可与合作开发协议；建立标准合同模板库与分级授权审批机制，跟踪合同履行风险并及时预警。

3. 搭建适配光通信行业全球化业务的合规管理体系，覆盖出口管制（美国 EAR 等）、数据合规（个人信息保护法、GDPR）、反商业贿赂、反垄断与商业秘密保护；开展常态化合规培训、风险排查与合规审计，建立法律风险预警与定期报告机制。

4. 统筹专利、商标、软件著作权的布局、申请与维护，主导知识产权风险排查（FTO）与侵权应对；建立商业秘密与竞业限制保护体系，防范核心工艺、图纸、客户信息与源代码泄露。

5. 统筹处理劳动争议、商事合同纠纷、知识产权侵权、跨境供应链争议等诉讼与仲裁案件，制定争议解决方案；管理外部律所资源，建立筛选、考核与成本管控机制，处理政府监管问询、突发事件与法律舆情危机。

6. 参与投融资、并购重组、股权激励、境内外主体设立与股权变更等重大项目，主导法律尽职调查、交易架构设计与交易文件起草审核；配合上市公司三会运作、信息披露、关联交易与内幕信息管理等资本市场合规工作。

7. 为海外生产基地与境外销售主体提供日常法律支持，落实境外投资备案（ODI）、外汇、当地劳动用工、环保及客户合格供应商认证等属地化合规；作为内部关键接口人对接海外大客户与境外律所，主导跨境商务谈判与法律风险研判。

Responsibilities

1. Take full ownership of the Group's legal and compliance function. Build and continuously optimize the legal management system, covering contract management policies, authorization and seal management, dispute handling procedures and legal digitalization (Contract Lifecycle Management, CLM). Build and lead the legal team, define role allocation, performance appraisal and talent development mechanisms, and manage the annual legal budget and external counsel cost control.

2. Oversee the drafting, review and negotiation of Chinese and English legal documents, including domestic and overseas customer sales contracts and long-term supply agreements (LTA), non-disclosure agreements (NDA), joint development agreements (JDA), procurement and equipment contracts, and technology licensing and co-development agreements. Establish a standard contract template library and a tiered authorization and approval mechanism, and monitor contract performance risks with timely early warnings.

3. Build a compliance management system tailored to the globalized business of the optical communications industry, covering export controls (e.g., U.S. EAR), data compliance (Personal Information Protection Law, GDPR), anti-bribery, antitrust and trade secret protection. Conduct regular compliance training, risk screening and compliance audits, and establish a legal risk early-warning and periodic reporting mechanism.

4. Oversee the layout, filing and maintenance of patents, trademarks and software copyrights; lead IP risk assessments (FTO) and infringement responses. Establish a trade secret and non-compete protection system to prevent leakage of core processes, drawings, customer information and source code.

5. Manage litigation and arbitration cases involving labor disputes, commercial contract disputes, IP infringement and cross-border supply chain disputes, and develop dispute resolution strategies. Manage external law firm resources with selection, evaluation and cost control mechanisms, and handle government regulatory inquiries, emergencies and legal-related public opinion crises.

6. Participate in major projects including investment and financing, mergers and acquisitions, equity incentives, and establishment or equity changes of domestic and overseas entities; lead legal due diligence, transaction structuring and the drafting and review of transaction documents. Support capital market compliance including listed company board and shareholder meeting operations, information disclosure, related-party transactions and insider information management.

7. Provide day-to-day legal support for overseas manufacturing bases and offshore sales entities; ensure localized compliance in outbound investment filing (ODI), foreign exchange, local labor employment, environmental requirements and customer qualified supplier certification. Serve as the primary internal interface with overseas key accounts and foreign law firms, leading cross-border commercial negotiations and legal risk assessment.

1. 教育背景：法学本科及以上学历，通过国家统一法律职业资格考试并持有 A 证；有海外留学背景，或持有境外律师执业资格（美国纽约州/加州、英国、新加坡等）者优先。

2. 从业经历：10 年以上律师事务所或企业法务完整从业经验，3 年以上法务团队全盘管理经验；具有光通信、半导体、精密制造等行业法务经验者优先。

3. 专业能力：精通公司法、合同法、劳动法、知识产权法与证券法，熟悉跨境投资、出口管制、数据安全、外汇监管相关法律法规；具备投融资、并购交易全流程法务实操经验，能独立完成尽职调查、交易文件拟定与交割落地。

4. 语言能力：英语可作为工作语言，能独立起草、审阅复杂中英文合同，独立主持跨境商务谈判与境外法律沟通。

5. 综合素质：具备商业思维与经营视角，能在风险控制与业务推进之间取得平衡；拥有优秀的跨部门协同、商务谈判、危机处置与高层汇报能力；职业操守良好，保密意识强。

6. 优先条件：具备 A 股或港股 IPO、再融资、重大资产重组完整项目经验；有海外生产基地从 0 到 1 搭建与属地化合规实操经验；主导过重大涉外诉讼、仲裁或知识产权维权案件。

Job Requirements

1. Education: Bachelor's degree or above in Law; has passed the National Unified Legal Professional Qualification Examination and holds a Class A certificate. Overseas education background or overseas bar admission (e.g., New York State/California, England and Wales, Singapore) is preferred.

2. Work Experience: At least 10 years of complete legal practice experience in law firms or in-house legal departments, including 3+ years of full-scope legal team management. Legal experience in optical communications, semiconductors or precision manufacturing is preferred.

3. Professional Competencies: Expertise in Company Law, Contract Law, Labor Law, Intellectual Property Law and Securities Law; familiarity with cross-border investment, export control, data security and foreign exchange regulations. Hands-on experience across the full cycle of investment, financing and M&A transactions, with the ability to independently complete due diligence, transaction documentation and closing.

4. Language Proficiency: English as a working language, able to independently draft and review complex Chinese and English contracts, and to lead cross-border commercial negotiations and overseas legal communications.

5. Comprehensive Qualities: Business acumen and a management perspective, able to balance risk control with business enablement. Excellent cross-functional collaboration, commercial negotiation, crisis management and executive-level reporting capabilities. Strong professional ethics and confidentiality awareness.

6. Preferred Qualifications: Full project experience in A-share or Hong Kong IPO, refinancing or major asset restructuring; hands-on experience in building overseas manufacturing bases from the ground up and ensuring localized compliance; a proven track record leading major foreign-related litigation, arbitration or IP enforcement cases.
