职位描述

1.财务战略与 A+H 资本项目：参与集团战略规划，制定中长期财务与资本规划；深度主导 H 股 IPO 财务全流程，对接投行、四大、境外律所，应对港交所问询，完成招股书财务相关工作，保障 A+H 项目推进；支撑投资并购、海外建厂、股权激励等重大经营决策。

2.海内外核算与两地资本市场披露：统筹集团合并报表，同时满足创业板 A 股、港交所监管要求，适配 CAS、HKFRS/IFRS 两套准则，保障两地定期报告、公告披露合规；统一集团财务制度，推进 SAP 业财一体化；垂直管理东南亚海外财务团队，管控跨境关联交易、转让定价、ODI 合规。

3.全面预算与全球化经营管理：搭建集团全面预算及滚动预测体系，覆盖海内外各业务单元；深化制造端成本管控，对国内、海外工厂做产能效益、存货分析，推动降本增效；统一 A+H 投资者经营分析口径。

4.资金管理与资本运作：统筹集团资金、融资、汇率对冲与跨境现金流管理，保障海外利润汇回合规；负责投融资尽调估值；统筹 A+H 资本工具，做好分红、股权激励、投资者关系财务侧支撑。

5.全球税务、内控风控：搭建全球税务架构，落地泰国 BOI 等海外政策税务权益；建立适配 A+H 双上市的内控风控体系，统筹内外审计，满足深交所、港交所双重监管要求，防控财务、税务、外汇风险。

6.财务团队建设：负责集团财务中心团队管理、人才梯队搭建，推动财务 BP 业务嵌入，适配双上市与全球化扩张组织需求。

1. Financial Strategy and A+H Capital Projects

Participate in group strategic planning and formulate medium‑to‑long‑term financial and capital plans. Take in‑depth lead of the full‑process finance work for H‑share IPO, liaise with investment banks, Big Four accounting firms and overseas law firms, respond to Hong Kong Stock Exchange inquiries, complete finance‑related work for the prospectus, and ensure the progress of the A+H project. Support major business decisions including investment & M&A, overseas factory establishment and equity incentive schemes.

2. Domestic & Overseas Accounting and Dual‑Capital‑Market Disclosure

Oversee group consolidated financial statements to comply with regulatory requirements of ChiNext (A‑share) and Hong Kong Stock Exchange, and adapt to two sets of accounting standards: CAS and HKFRS/IFRS. Ensure compliance of periodic reports and announcements for both markets. Unify group financial policies and drive SAP financial‑business integration. Implement vertical management of overseas finance teams in Southeast Asia, and control cross‑border related‑party transactions, transfer pricing and ODI compliance.

3. **Comprehensive Budgeting and Global Business Management**

Build the group‑wide comprehensive budgeting and rolling forecasting system covering all domestic and overseas business units. Deepen cost control on manufacturing side, conduct capacity efficiency and inventory analysis for domestic and overseas plants, and drive cost reduction and efficiency improvement. Align unified operational analysis standards for A+H investors.

4. Fund Management and Capital Operations

Oversee group funds, financing, exchange rate hedging and cross‑border cash flow management, and ensure compliance for overseas profit repatriation. Conduct due diligence and valuation for investment and financing activities. Manage A+H capital instruments, and provide financial support for dividend distribution, equity incentives and investor relations.

5. Global Taxation, Internal Control & Risk Management

Establish global tax structure and leverage overseas tax incentives such as Thailand BOI policies. Build internal control and risk management system tailored for dual A+H listing, coordinate internal and external audits, meet dual regulatory requirements of Shenzhen Stock Exchange and Hong Kong Stock Exchange, and mitigate financial, tax and foreign exchange risks.

6. Financial Team Development

Manage the group finance center team and build talent pipelines. Promote embedding of Finance BP into business lines to adapt to organizational demands brought by dual‑listing and global expansion.

任职要求

1.本科及以上，财务 / 会计 / 金融专业，CPA/ACCA 优先。

2.12 年以上上市集团财务高管经验，5 年及以上集团 CFO 经验；拥有 H 股 IPO/A+H 项目实操经历优先；光通信、半导体、高端电子制造背景优先；具备海外工厂财务全盘管理经验，熟悉跨境税务、转让定价。

3.精通 A 股创业板、港交所上市规则，熟悉 CAS、HKFRS/IFRS；熟练 SAP 系统，具备业财一体化建设经验。

4.具备投融资并购、跨境资金、外汇风险管理能力，了解海外外资政策。

5.英文流利，具备制造业业财融合思维，战略视野强。

6.擅长跨地域团队管理，职业操守良好。

1. Bachelor’s degree or above, major in Finance, Accounting or Financial Management; CPA/ACCA qualifications are preferred.

2. Minimum 12‑year working experience as senior finance executive in listed groups, with at least 5‑year experience as Group CFO. Practical experience in H‑share IPO / A+H listing projects is highly preferred. Candidates with background in optical communications, semiconductors or high‑end electronic manufacturing are preferred. Full‑scope financial management experience for overseas manufacturing plants, with solid knowledge of cross‑border taxation and transfer pricing.

3. In‑depth understanding of listing rules for ChiNext (A‑share) and Hong Kong Stock Exchange; proficient in CAS, HKFRS/IFRS. Skilled in SAP system, with experience in building financial‑business integration.

4. Capable of investment, financing and M&A, cross‑border fund management and foreign exchange risk control; familiar with overseas foreign investment policies.

5. Fluent in English, with manufacturing‑oriented financial‑business integration mindset and strong strategic vision.

6. Proven capability in cross‑regional team management and sound professional ethics.
