证券事务（H股）

职位描述

1、负责参与券商、律师、会计师等中介机构的前期沟通，提出意见和建议；负责对H股上市过程各环节的把关，提出风险，防范问题的发生；

Was responsible for participating in preliminary communications with intermediaries such as underwriters, lawyers, and accountants, providing opinions and suggestions; was in charge of overseeing each stage of the H-share listing process, identifying risks, and preventing issues from arising.

2、负责协调各中介机构的日常工作，提升项目整体效率和质量；负责H股上市过程中各类问题的统筹协调跟进和解决；

Was responsible for coordinating the daily work of various intermediaries to enhance the overall efficiency and quality of the project; was in charge of the overall coordination, follow-up, and resolution of various issues during the H-share listing process.

3、负责结合H股和A股法规要求差异，建立健全公司治理结构；

Was responsible for establishing and improving the corporate governance structure by considering the differences between H-share and A-share regulatory requirements.

4、负责协同A股，起草、审阅并按期通过港交所电子申报系统报送各类披露文件；

Was responsible for collaborating with the A-share team to draft, review, and submit various disclosure documents on time via the HKEX’s electronic filing system.

5、负责制定并维护H股信息披露政策与流程，统筹建立健全三会和日常治理规则，负责日常与港交所和中介机构信息披露工作的对接往来。

Was responsible for formulating and maintaining H-share information disclosure policies and procedures, overseeing the establishment and improvement of rules for the Board of Directors, Supervisory Committee, and Shareholders' Meetings as well as daily governance, and managing daily correspondence regarding information disclosure with the HKEX and intermediaries.

6、负责内部信息管理、董事高管管理等，根据港交所要求建立健全公司的合规管理工作。

Was responsible for internal information management and director/executive management, and established robust compliance management systems for the company in accordance with HKEX requirements.

7、协助IR参与路演、业绩发布会、分析师电话会等；

Assisted the Investor Relations (IR) team in participating in roadshows, earnings conferences, analyst conference calls, and similar events.

8、在合规前提下，协同IR进行市值管理，持续优化公司资本市场形象。

Collaborated with the IR team on market capitalization management within compliance boundaries to continuously enhance the company's capital market image.

任职要求

1、本科及以上学历，财务/法学等相关专业，学历优秀者优先

Bachelor's degree or above in Finance, Law, or related fields; candidates with outstanding academic backgrounds are preferred.

2、3年以上H股信息披露及H股IPO项目经验

Minimum 3 years of experience in H-share information disclosure and H-share IPO projects.

3、具备英语书面和口语能力，能独立完成信息披露与对外沟通

Proficient in written and spoken English, capable of independently handling information disclosure and external communication.

4、熟悉港交所上市规则、各项法律法规要求

Familiar with the HKEX Listing Rules and relevant laws and regulatory requirements.

5、熟练使用港交所电子申报系统及主流办公工具

Proficient in using the HKEX electronic filing system and mainstream office software.
